五十多年前，加拿大冰球傳奇人物蒂姆·霍頓(Tim Horton)以自己的名字命名，創立了這個主賣咖啡和甜甜圈的連鎖店。最早的時候，咖啡和糕點的價格定在了10美分一個。現今，這個被顧客稱爲“Tims”的咖啡店已經在全球擁有約4,600個店面。在北美地區，無論是購物中心、高速公路出入口，還是大學、醫院等等，Tim Hortons的身影可謂是無處不在，同時還設立了許多24小時營業店。</p>

在2014年，這家加拿大本地第一大快餐連鎖品牌被美國快餐連鎖“漢堡王”(Burger King) 以114億美元 (125億加元) 併購，併合併成爲新的集團Restaurant Brands International Inc(TSE: QSP.UN)。該集團的總部設在加拿大安大略省奧克維爾市(Oakville)，“漢堡王”和 “Tim Hortons”將保留各自的商標。值得一提的是，美國投資家沃倫·巴菲特在這筆交易中起了關鍵作用，他購買的30億美元優先股權益爲這筆交易提供了融資。</p>
<p>
收購後，Tim Hortons 成爲RBI營收的主力軍。去年RBI的主要收入大增，其中超出70%的收入來自Tim Hortons加盟商支付的原材料費、設備費用、租金(接近10%的店面銷售額)和特許權使用費(3%-5%的店面銷售額)。</p>
<p>
但今年6月19號，由Tim Hortons 加盟店店主組成的協會 Great White North Franchisee Association (GWNFA)發起集體訴訟，指責該咖啡連鎖店的新東家RBI管理不善，提出$5億加元索賠。這個組織是由加拿大一半的Tim Hortons加盟商在三月份組成立了的一個協會，以表達他們的抗議。</p>
<p>
<strong> 來自GWNFA對Tim Hortons母公司RBI的控告包括以下方面：</strong></p>
<p>
成本上漲，質量下降，缺貨更多</p>
<p>
RBI在2014年收購了Tim Hortons，這項交易最大的支持者是其股東——巴西投資公司3G Capital。該投資公司以追求強制收購併實施大幅度縮減成本的管理著稱。</p>
<p>
RBI從TM得來的營收不僅包括加盟費，租金，還有售給加盟店各種原材料和用品的收入。但在RBI接管TM之後，RBI全部上調價格以向加盟商收取更多費用。</p>
<p>
在加拿大擁有六家Tim Hortons的Wade MacCallum說：“當 TH被RBI接管時，我被告知運營還會像往常一樣。但事實上，3G的業務模式是以削減成本爲基礎，它已經把Tim Hortons徹頭徹尾改了一遍。”</p>
<p>
曾經開過Tim Hortons的Tim Gilks表示，RBI正在每年向每家Tim Hortons連鎖店收取約$13,750加元的咖啡成本費。他說，儘管市場中的原材料成本已上漲，但該企業費用提高幅度遠遠高於原材料本身價格的增長，同時原材料的質量卻比之前差了。</p>
<p>
Tim Hortons加盟商們表示，由於母公司的價格上提，他們不得不裁員以縮減成本。甚至一些加盟商不得不轉去COSTCO購買一些原材料與用具(例如，糖、刀具和剪刀等)，因爲RBI的收費更高。</p>
<p>
在阿爾伯塔南部擁有5家TimHortons的David Hughes說，顧客們也注意到了這個變化，尤其是菜單價格的上漲。咖啡杯的成本比以前貴了$0.02加元，這聽起來不是很多，但是對習慣喝咖啡的顧客來說，再細微的價格上漲也會被發現。</p>
<p>
集體訴訟的原告稱，RBI提高了連鎖店的經營成本但卻拒絕讓他們同等漲價。除此之外，同時，由於只有單一供貨源，導致很多原材料或用具常常缺貨。一些加盟商抱怨道：“上次缺的食材是捲餅，我們3、4天都沒辦法賣三明治，這還不如直接不開門了!”Tim Hortons的加盟商認爲這是在碰觸他們的底線，因爲不僅提高了運營成本，並且會導致客戶流失。</p>
<p>
<strong> 極端的檢測標準</strong></p>
<p>
據環球時報報道, Tim Hortons的加盟店很難通過其母公司制定的標準檢測。RBI 設立了一個全球績效考覈系統(Global Performance System,簡稱GPS)以檢測加盟店的運營表現。</p>
<p>
GWNFA 在其網站明確表明，該標準是“完全不可能100%做到的”。該檢測標準不僅詳細包括對交易數，drive-thru(得來速餐廳)的服務速度等服務上的要求，還要求店面必須用一些母公司常常缺貨的用品和一些華而不實的清理裝備。除外之外，這個GPS標準甚至要求店面的老鼠夾擺放方向。</p>
<p>
在1月份之前，15%的TM 店面在母公司設定的全球績效考覈系統(GlobalPerformance System)測試中失敗，下一個月，竟有69%的店面沒有通過。在3月份，測試中失敗的店面高達85%。</p>
<p>
加盟商們告知，更在傷口上撒鹽的是，吝嗇的3G管理層已經解僱了很多本可以改善餐廳的優秀人才。GWNFA 認爲：“該標準根本不考慮店面之間的差異，比如有的店面人員可能不夠，每個店的店面大小不同，或者不同店面的得來速點單口到提單口的距離不一樣。”</p>
<p>
<strong> 虛構數字</strong></p>
<p>
除了苛刻的GPS標準，另一個加盟商要通過的“苛刻”標準是針對損益報表上的數據。跟據Grant’s 的報道，加盟商表示RBI會拒絕過低的P&L報表。</p>
<p>
根據一個阿爾伯塔省的加盟商網上匿名問卷調查，所有參與的129位加盟商的平均營業利潤率僅爲6.29%， 遠低於總公司所聲明的Tim Hortons連鎖店的營業利潤率普遍在13%-14%左右。爲了避免麻煩以及符合擴張資質，一些加盟商甚至選擇虛構數字。針對這個問題，RBI的態度卻是：“這些都是店面自己報上的數據，我們不對其負責。”</p>
<p>
<strong> 挪用資金</strong></p>
<p>
根據加盟店簽定的合約，Tim Hortons門店要提交每年3.5%的淨銷售收入，用於Tim Hortons的品牌的市場推廣，又稱廣告基金。</p>
<p>
在訴訟書中，GWNFA指責母公司濫用加盟店支付的鉅額廣告基金。自RBI收購TimHortons後，加拿大的加盟店總共交了$7億加元廣告基金。但是母公司RBI從未說明如何使用了這筆基金，加盟商認爲RBI挪用了其中部分款項用於其他用途，這相當於在損害他們的利益。</p>
<p>
Grant’s 一直再追蹤此事件的記者Evan Lorenz 表示，雖然無法證明RBI挪用了部分基金用作其他用途，但值得注意的是2017年第一季度，Tim Hortons的企業管理費支出上漲到$251萬(佔銷售額3.4%),同比增長55%， 並且支出增長是在加盟商就廣告基金問題跟RBI起爭執之後開始的。</p>
<p>
<strong> 形象損壞</strong></p>
<p>
加盟商說，這不僅僅是在損害他們的利益，RBI也在破壞Tim Hortons在加拿大的形象。</p>
<p>
因爲這筆基金主要用於支持一些社區活動，諸如曲棍球，兒童營地，游泳日和當地燒烤等，以樹立Tim Hortons的良好社區形象。 GWNFA的負責人 David Hughess說：“Tim Hortons 已經伴着三四代人長大，一直在參與社區活動。但RBI對維護我們品牌的形象並不感興趣。要知道，Tim Hortons可是因爲我們對當地社區的付出而與其他食品連鎖品牌不同。”</p>
<p>
加盟商認爲，RBI對加盟店店面的壓榨正在摧毀Tim Hortons的良好形象，同時迫使他們減少對社區活動的支持。</p>
<p>
上個月，GNWFA宣佈大約有一半的美國Tim Hortons加盟店主已加入這項訴訟。GWNFA的主席David Hughes 說：“我們不能再提供跟原來一樣的服務了，RBI已經把Tim Hortons 變成了一個純盈中心。”</p>
<p>
<strong> 缺乏透明，回應冷淡</strong></p>
<p>
同時，加盟商們表示發起這份訴訟的另一個原因是該母公司缺乏透明度，並且不願意正面回應他們的問題。</p>
<p>
去年，管理層披露了各項對於分析該公司增長速度的重要數據，例如同店銷售額增長，總銷售額增長和加盟店數量等。但是在今年的報表中，RBI僅公佈了其各個食品連鎖店的一些繁榮區域的同店銷售，並非所有店面和全部指標。例如，在第一季度財報中只公佈了加拿大同店銷售業績。</p>
<p>
GWNFA協會的一些成員已經就這些問題嘗試聯繫RBI幾個月，但一直未曾得到回應。也有成員在與RBI的管理層見面會中提出這些問題，但是被當場拒絕回答。當該協會正式向RBI發了律師信後，該母公司纔開始回應加盟商。</p>
<p>
這宗訴訟的被告有Tim Hortons公司和RBI公司，以及兩間公司的高管Elias Diaz Sese和DanielSchwartz。RBI公司在隨之的一份聲明中說：“我們強烈否認所有針對我們業務和品牌的指責，我們仍致力於與門店店主合作，確保Tim Hortons品牌在未來繼續強大。”除此之外，該公司在三月底，對其在過去兩年未曾好好聆聽加盟店主的意見而道歉，但並未做出實際有效的改善行爲。</p>
<p>
<strong> RBI四面楚歌</strong></p>
<p>
RBI 的收入增長主要來自於新開的店面，它正致力於推動TM進軍全球其他市場，例如歐洲和東南亞市場。但是由於文化差異的存在，TIM是否能獲得當地人的喜愛仍然存疑。</p>
<p>
除此之外，投資大佬Bill Ackman 在近期的一次調整投資組合中，以$61的價格出售1000萬股Restaurant Brands Internationals的股份，進行了17%的減倉。在此之後，Bill Ackman持有該公司14%的流通股。 但由於這個基金將要被贖回，Bill Ackman需要清空一些倉位，因此可能進一步拋售Restaurant Brands Internationals (QSR)。</p>
<p>
<strong> 總結：RBI </strong>應力挽狂瀾</p>
<p>
海鯨金融分析師認爲，RBI應當一開始就意識到事態的嚴重性，而不能一味的只追逐利益不考慮現實情況。要知道，截至3月底的一年內，Tim Hortons 所有加盟店的總銷售額爲$65美元，佔RBI 所有連鎖店的銷售額的23%。此外Tim爲RBI的稅息折舊及攤銷前利潤(EBITDA) 貢獻了$ 11億，相當於RBI的EBITDA中55%來自Tim Hortons，遠超於其旗下的另兩個食品品牌Burger King和Popeyes。</p>
<p>
因此，如果Tim Hortons 出了問題，那麼RBI也就岌岌可危了。從數據上分析，Burger King和Popeyes的增長永遠不可能補償Tim Hortons的缺失。</p>
<p>
近來有跡象表明Tim Hortons的收入放緩。Tim Hortons上個季度的同店銷售下滑了0.2%，與分析師預測不符。</p>
<p>
另外，公司報表層面體現出來的Tim Hortons經營利潤率從3G Capital接手時候的不到14%，猛增到2017年一季度接近24%的極高水平。正如沒有什麼數能漲到天上去，這個利率水平能否繼續上漲或是至少維持現在水平，也將面臨考驗。</p>
<p>
7月24日， RBI 將發佈新一季度財報，到時Tim Hortons 的銷售額是否爲增長趨勢便可確定。</p>
