五年前，趙先生經人介紹結識了兩岸咖啡的負責人併成功加盟，在餘杭臨平政法街上開了一間面積600平方米的兩岸咖啡。</div>

三個月前的一天，他去了趟餘杭工商局，爲自己的店辦理店名變更手續，變更後的新店名叫“雨岸咖啡”，僅與“兩岸”一字之差。趙先生說：“這家店，我開了五年，但沒賺到錢。今年12月份，店鋪租期一到，我就打算關門了。”</div>

加盟合同到期，200萬投資還沒回本</div>

雖然原來的招牌換成了雨岸咖啡。但熟客們推開咖啡館的門會發現，裏面的裝修、陳設甚至人員幾乎都沒有變化：服務員還穿着和兩岸咖啡店員一樣的工作服，桌簽上的LOGO還是兩岸咖啡，菜單名稱雖然改成了雨岸咖啡，但內容還和兩岸咖啡一樣。</div>

小陳是臨平本地人，前兩天剛去這家雨岸咖啡消費過：“我有張兩岸咖啡的VIP卡，這家店還能用。”趙先生告訴記者：“我和兩岸咖啡的加盟合同已經到期了。他家的VIP卡我店裏還能打折，但是兩岸咖啡的其他儲值卡，在我們店裏一直都不能用。因爲是加盟店，只有在我們店辦的儲值卡才能在店裏消費。如果有顧客到時沒用完，我們可以退錢。”</div>

趙先生說：“5年前我加盟兩岸咖啡時，包括廣告費、設計費、加盟費、押金、店鋪裝修、設備採購等，一共花費不下200萬元；店鋪裝修了一年時間纔開業，每年的租金從開始的25萬元，今年一下子漲到48萬元；店裏每年的利潤大概是30萬~40萬元，做了五年，還沒回本。”</div>

更名一字之差，加盟商鋌而走險不可取</div>

開門做生意的人，當然希望投資能收到回報。對於自己投資兩岸咖啡沒有獲利，趙先生說：“這家咖啡館一直都是由聘請的職業經理人經營，總部前期也派人來指導過，但沒有持續跟進。因爲我們有其他生意在運作，我和老婆都沒太管過店，如果自己用心經營應該也不至於虧損。”</div>

“兩岸”成了“雨岸”，這會不會涉及侵權？</div>

浙江金道律師事務所律師廖志松認爲：“雨岸咖啡這種‘換湯不換湯藥’的做法，是加盟商出於維權本意的鋌而走險，這種行爲會面臨法律風險。</div>

<div>
“考慮到雙方之間的連鎖加盟合同已經到期，趙先生應當停止使用兩岸咖啡的相關LOGO、工作服、菜單，否則即使改用雨岸的招牌，也可能侵權，這與《合同法》中的誠信原則和後合同義務相違背。建議趙先生一方面可以採取轉讓店鋪或就地取材投資其他項目的方式，減少自己的損失；另一方面如果趙先生認爲加盟過程中，是兩岸咖啡的違約行爲導致自己虧損，可以通過與對方協商或訴訟的方式來解決。”廖志松說。</div>
